Veripass Terms of Service
Last updated: 25 October 2026
1. Who we are. Veripass is a trading name of Cuandeoro Limited, a company registered in Ireland (CRO 813028), registered office 17 Green Acre Court, Templeogue, Dublin 16, D16 PF54, Ireland, ("Veripass", "we"). These Terms govern your use of veripass.ie, app.veripass.ie, dpp.veripass.ie and related services (the "Service").
2. Business customers only. The Service is offered exclusively to businesses acting in the course of their trade, business or profession. By subscribing you confirm that you are not a consumer and that the person accepting these Terms has authority to bind the customer entity ("Customer", "you").
3. The Service. Veripass is a software tool that:
- (a) extracts data from documents you upload;
- (b) maps that data to product and battery passport data models;
- (c) flags data as found, estimated or missing;
- (d) publishes passport pages and generates QR codes and print files;
- (e) generates a Veripass Status Report.
The features of each plan are described on the pricing page at the time of subscription.
4. Your responsibilities as economic operator.
- 4.1 You remain solely responsible for compliance with Regulation (EU) 2023/1542, Regulation (EU) 2024/1781 and any other law that applies to your products, including the accuracy and completeness of all passport data.
- 4.2 Automated extraction and estimates may be incomplete or wrong. No data is published until you review and validate it in the Service. Your validation is recorded with user, date and time.
- 4.3 You warrant that you have the right to upload the documents and data you provide, and that they do not infringe third-party rights.
- 4.4 At checkout you confirm, by an express tick box, that you act as the sole economic operator responsible under Regulation (EU) 2023/1542 for the products you register.
- 4.5 The Veripass Status Report is not a certificate, conformity assessment, declaration of conformity or official document of any public authority. You must not present it as such.
5. Accounts. You are responsible for your users, their credentials and all activity under your account. Notify us without delay at support@veripass.ie of any unauthorised use.
6. Fees, billing and taxes.
- 6.1 Fees are stated in euro, per month, as final amounts, and payable in advance via our payment processor Stripe (card or SEPA Direct Debit).
- 6.2 Final net prices (€99 / €179 / €299 per month). No VAT charged: invoiced by Cuandeoro Limited (registered in Ireland, CRO No. 813028) under Irish Revenue small business VAT exemption threshold. Invoices carry the note "VAT Exempt — Supplier under Irish Revenue VAT registration threshold (CRO 813028)". If Cuandeoro Limited registers for VAT, we will give at least 30 days' notice of any change in invoicing.
- 6.3 Where a subscription is created before the service activation date shown at checkout, no fee is charged before that date. If activation is delayed, the trial is extended and no fee is charged until the Service is activated.
- 6.4 If a payment fails, we may suspend access to the dashboard after 14 days' notice by email. Published passport pages remain online for at least 60 days during suspension, and we give at least 30 days' further written notice and a full data export before taking any passport page offline.
- 6.5 We may change fees with at least 30 days' notice by email, effective from the next billing period.
7. Term and cancellation.
- 7.1 Subscriptions are monthly, with no minimum term, and renew automatically.
- 7.2 You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period.
- 7.3 We may terminate for material breach not remedied within 14 days of notice, or immediately for unlawful use.
- 7.4 After termination you may export your data for 60 days. Afterwards we delete it in accordance with the DPA, except where retention is required by law. For passport pages the law requires to remain available, we offer a paid archive option at the price then published, or a full export so you can host them elsewhere.
8. Intellectual property. We own the Service and its software. You own your documents and data. You grant us a non-exclusive licence to process them solely to provide the Service. We do not use your documents or data to train any AI model.
9. Confidentiality. Each party keeps the other's non-public information confidential and uses it only for these Terms, except as required by law.
10. Data protection. When we process personal data on your behalf, the Data Processing Agreement at veripass.ie/dpa applies and forms part of these Terms.
11. Availability and warranties.
- We provide the Service with reasonable skill and care, and aim for 99.5 % monthly availability of dpp.veripass.ie. This is a target, not a guarantee, subject to the service credit in the Cancellation & Refund Policy.
- Except as expressly stated, the Service is provided "as is", and all other warranties, conditions and terms, express or implied, are excluded to the extent permitted by law, including fitness for a particular purpose and that the Service will achieve regulatory compliance.
12. Limitation of liability.
- 12.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be limited under Irish law.
- 12.2 Subject to 12.1, Veripass is not liable for any:
- (a) loss of profit, revenue, business or goodwill;
- (b) loss of contracts, including contracts with retailers or distributors;
- (c) immobilisation or stoppage of stock;
- (d) administrative fines, penalties, product withdrawals, recalls or customs holds;
- (e) indirect or consequential loss.
- 12.3 Subject to 12.1, Veripass's total aggregate liability arising out of or in connection with these Terms is limited to 100% of the amounts actually paid by you to Cuandeoro Limited in the twelve (12) months immediately preceding the event giving rise to the claim.
- 12.4 The limits in 12.2 and 12.3 do not apply to your payment obligations or to your indemnity under clause 13.
- 12.5 Severability. If a competent Irish court finds any limitation or exclusion in this clause 12 not fair and reasonable, that limitation or exclusion is reduced only to the extent necessary to make it enforceable, at the maximum level permitted by law, and the rest of this clause 12 remains in full force.
13. Indemnity. You will indemnify us against third-party claims arising from documents or data you upload or validate, or from your products, except to the extent caused by our breach of these Terms, the DPA or our negligence. We will notify you promptly of any claim, let you control its defence and settlement (no admission without your consent), cooperate reasonably at your cost, and take reasonable steps to mitigate.
14. Suppliers and subprocessors. We may use subcontractors and subprocessors as listed in the DPA, and remain responsible for them.
15. Changes. We may update these Terms with 30 days' notice by email. Continued use after that date constitutes acceptance. If you object, you may cancel before the change takes effect.
15A. Acceptable use and security suspension. You must not upload malware, unlawful content or data you have no right to process, attempt to breach the Service, or resell it without our consent. We may suspend access immediately where needed to protect the security of the Service or other customers, and will tell you why without delay.
15B. General.
- Force majeure: neither party is liable for delay caused by events beyond its reasonable control (payment obligations excepted).
- Assignment: you may not assign without our consent; we may assign to a group company or successor on notice.
- Entire agreement: these Terms, the DPA and the pricing page form the entire agreement.
- Severability: an invalid provision does not affect the rest.
- No waiver: failure to enforce is not a waiver.
- Notices: by email to the addresses on your account and to support@veripass.ie.
16. Governing law and courts. These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction. The English version prevails over any translation.
